Welcome to VisionHowl! These Terms of Service ("Terms") govern your access to and use of the VisionHowl website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Please read these Terms carefully before using our platform. These Terms constitute a legally binding agreement between you and VisionHowl.

Refers to datasets, images, annotations, metadata, text, graphics, videos, or other materials uploaded, downloaded, or otherwise appearing on the Services.
Refers to Content that users upload, share, or create through the Services.
Refers to a registered user account on the VisionHowl platform.
To access certain features of the Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

You are solely responsible for all User Content that you upload, post, or otherwise make available through the Services. You represent and warrant that:

If you provide feedback, ideas, or suggestions regarding the Services ("Feedback"), you grant VisionHowl a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use the Feedback for any purpose without compensation to you.
You retain all ownership rights in your User Content. By uploading or sharing User Content through the Services, you grant VisionHowl a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of providing and improving the Services.
When you upload datasets to the Services, you must specify the license terms under which others may use your datasets. VisionHowl offers several standard license options, or you may specify custom license terms. You are responsible for ensuring that you have the right to apply your chosen license to your datasets.
The Services contain content owned or licensed by VisionHowl ("VisionHowl Content"). VisionHowl Content is protected by copyright, trademark, patent, trade secret, and other laws, and VisionHowl owns and retains all rights in the VisionHowl Content. You may not remove, alter, or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the VisionHowl Content.
The Services may contain content provided by other users or third parties. VisionHowl is not responsible for and does not endorse such third-party content. You are responsible for complying with the license terms applicable to any third-party content you access through the Services.
You agree not to engage in any of the following prohibited activities:
Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
Attempting to gain unauthorized access to the Services or other users' accounts.
Uploading viruses, malware, or other malicious code.
Infringing on the intellectual property rights of others.
Using bots, scrapers, or other automated methods to access the Services without permission.
Sending unsolicited communications, promotions, or advertisements.
You agree not to upload, post, or share any User Content that:
VisionHowl reserves the right, but is not obligated, to monitor or review any User Content. VisionHowl may remove or disable access to any User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.
Some aspects of the Services may be provided for a fee. You agree to pay all fees in accordance with the pricing and payment terms presented to you for such Services. You will provide VisionHowl with valid payment information at the time of purchase.
Some Services may be offered on a subscription basis. By selecting a subscription, you agree to pay VisionHowl the subscription fees indicated for that service. Subscriptions automatically renew until cancelled by you. You may cancel a subscription at any time from your account settings.
When you purchase a dataset, you are paying for a license to use that dataset according to the license terms specified by the dataset provider. Dataset purchases are generally non-refundable, except as required by applicable law or as expressly provided in these Terms.
If you sell datasets through the Services, VisionHowl will pay you the applicable percentage of the sale price as specified in our current revenue sharing terms, less any applicable fees or taxes. Payments will be made according to the payment schedule and methods described in our payment policies.
All fees are exclusive of taxes, which we may collect from you as required by law. You are responsible for applicable taxes, and VisionHowl is not responsible for determining whether taxes apply to your transaction or for collecting, reporting, or remitting any taxes arising from any transaction.
You may terminate your account at any time by following the instructions on the Services or by contacting us at [email protected]. Upon termination, you will no longer have access to your account or any content stored in your account.
VisionHowl may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
VISIONHOWL DOES NOT WARRANT THAT:
VISIONHOWL DOES NOT ENDORSE, SUPPORT, REPRESENT, OR GUARANTEE THE COMPLETENESS, TRUTHFULNESS, ACCURACY, OR RELIABILITY OF ANY THIRD-PARTY CONTENT OR COMMUNICATIONS POSTED VIA THE SERVICES OR ENDORSE ANY OPINIONS EXPRESSED VIA THE SERVICES.
VISIONHOWL DOES NOT GUARANTEE THE ACCURACY, INTEGRITY, QUALITY, OR APPROPRIATENESS OF ANY USER CONTENT. YOU ACKNOWLEDGE THAT BY USING THE SERVICES, YOU MAY BE EXPOSED TO USER CONTENT THAT IS OFFENSIVE, INDECENT, OR OBJECTIONABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISIONHOWL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT VISIONHOWL HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT SHALL VISIONHOWL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO VISIONHOWL, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING YOUR CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless VisionHowl, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Before filing a claim against VisionHowl, you agree to try to resolve the dispute informally by contacting us at [email protected]. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or VisionHowl may proceed with filing a formal claim.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be resolved by binding arbitration in accordance with the [Applicable Arbitration Rules] by [Arbitration Organization]. The arbitration will be conducted in [Arbitration Location] unless you and VisionHowl agree otherwise. The language of the arbitration shall be English.
YOU AND VISIONHOWL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, you and VisionHowl may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
These Terms constitute the entire agreement between you and VisionHowl regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements between you and VisionHowl.
The failure of VisionHowl to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by VisionHowl.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
You may not assign or transfer these Terms, by operation of law or otherwise, without VisionHowl's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. VisionHowl may assign or transfer these Terms, at its sole discretion, without restriction.
Any notices or other communications provided by VisionHowl under these Terms will be given by posting to the Services or by email to the email address associated with your account.
VisionHowl reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Services and updating the "Last Updated" date at the top. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
